Contributor Program Terms

Single-tier commission programme for influencers and instructors.

One-line summary. VSVSV pays you a commission on real sales you bring in through your unique referral code (the influencer side) or a retainer + revenue share on courses you contribute to (the instructor side). One person can be both. The programme is single-tier, India-only in v1, and TDS is deducted at source.

1. Who these terms apply to

These terms govern your participation in the VSVSV Contributor Program as either an Influencer (you market our courses via a unique code), an Instructor (you contribute teaching/content to our courses), or both. Acceptance is recorded against version 1.0.0 at the moment you click Activate contributor account.

2. Operating entity

VSVSV is a brand operated by VSVSV (VIDHI SANGAT VIDYUT SAKSYA VINAYA) TECH PRIVATE LIMITED, an Indian private limited company. Payouts are made from this entity. Statutory tax and audit obligations are also owned by this entity.

3. Single-tier commission — how you earn

The programme is single-tier. You earn commission on the actual sales you refer; you do not earn anything for recruiting other contributors. There are no levels, downlines, matching bonuses, or recruitment incentives. This is the structural rule that keeps the programme outside the scope of India's Prize Chits and Money Circulation Schemes (Banning) Act 1978 and BUDS Act 2019.

3.1 Influencer commission base

Commission is calculated on the platform's recognised revenue from each sale — that is, the price the learner actually paid minus the GST we collected. This matches how VSVSV recognises revenue under Ind AS 115 and how CGST § 15(3)(a) treats post-discount transaction value. Worked example for a ₹10,000 list price with a 10% code (illustrative; your rate is set in your invite):

  • Learner pays: ₹9,000 (GST-inclusive)
  • Commission base: ₹9,000 ÷ 1.18 = ₹7,627.12 (ex-GST)
  • Commission at 15%: ₹1,144.07

3.2 Instructor pay

Instructor compensation is configured per course as a combination of a flat retainer (paid once on instructor activation against the course) and a revenue share (paid as a percentage of each paid enrollment in that course, calculated on the same ex-GST base as influencer commission). Either component may be zero.

4. Refund-hold window

Commission earned on a sale is held for 14 days after the sale completes. If the learner refunds the purchase inside this window, the commission is voided. The 14-day window matches our public refund and cancellation policy. After the window closes, the commission is moved to the "accrued" state and becomes eligible for the next payout cycle.

5. Tax deduction at source

VSVSV deducts TDS at source under the Income Tax Act, 1961:

  • Influencer commission (§ 194H): 2% on commission gross once your cumulative commission in the financial year crosses ₹15,000. Below that threshold, no TDS is deducted. The reduced 2% rate is effective from 1 October 2024 per the Finance (No.2) Act 2024.
  • Instructor fees (§ 194J): 10% on professional fees once your cumulative fees in the financial year cross ₹30,000.
  • Without PAN (§ 206AA): 20% on all amounts above the relevant threshold, regardless of section.

You will receive a Form 16A certificate from us each quarter showing the TDS deducted and deposited under your PAN. Claim it as a tax credit on your Income Tax Return.

6. GST

If you are GST-registered (i.e., your annual turnover is above the statutory threshold, currently ₹20 lakh in most states), you must invoice us with 18% GST under forward charge on your commission or instructor fee. We will pay the invoice value (commission/fee + GST) and claim Input Tax Credit on the GST. If you are not GST-registered, no GST is added.

7. KYC and bank details

You may accept this invite, generate referral codes, and earn commission without immediately submitting KYC. KYC is required before your first payout:

  • PAN — mandatory. Without PAN we must withhold 20% TDS per § 206AA.
  • Bank account number, IFSC, account-holder name — the account-holder name must match the PAN-linked name.
  • GSTIN — required only if you declare GST-registered status.
  • Tax-residency declaration — you have already confirmed Indian tax residency at invite acceptance. Non-residents are out of scope in v1.

Your PAN number and bank account number are stored AES-GCM encrypted at rest. Only the last four digits of each are shown for display. Every administrator viewing your unmasked PAN or bank account triggers an audit log entry under DPDPA § 8(6).

8. Payout cycle

Payouts are processed monthly. On the operator-set payout day (default 7th of the month), all accrued commissions and fees for the prior period are bundled into a single payout. The amount you receive equals: gross commission + GST (if registered) − TDS. We pay via bank transfer in v1; payment-API automation is being evaluated for a future version.

9. Disclosure obligation (ASCI & Consumer Protection Act 2019)

This is your obligation, not ours. Every Instagram post, YouTube video, blog article, or other public content of yours that promotes VSVSV in exchange for our commission must carry a clear material-connection disclosure — #Ad, #Sponsored, #Collab, #PartnerWith, or equivalent. This is required under the ASCI Influencer Guidelines (May 2021, updated) and the Central Consumer Protection Authority's Endorsements Know-Hows (June 2023). Non-compliance can attract penalties under § 21 of the Consumer Protection Act 2019.

10. Self-referral, fraud, and program rules

  • You cannot redeem your own code on your own purchase. The system blocks this automatically.
  • You must not artificially inflate redemptions through coordinated repeat purchases or fake learner accounts.
  • If we detect or reasonably suspect abuse, we may freeze your codes, withhold the corresponding payouts pending review, and (in serious cases) terminate your participation. Any earnings deemed in good faith remain payable.
  • We may change your commission rate going forward, but the rate snapshot at the time of each sale is locked — rate changes never apply retroactively.

11. Personal data & retention

We process your personal data under the Digital Personal Data Protection Act, 2023 (DPDPA) for the purpose of: (a) commission/fee accrual and payout, (b) statutory tax reporting (TDS, GST), (c) fraud prevention, and (d) responding to regulatory audits. Records relating to payouts and tax are retained for 6 years as required by the Income Tax Act § 92E and CGST § 36. Right-to-erasure requests within the retention window are acknowledged and queued for processing after the period elapses.

12. Termination

You may stop participating at any time by contacting us at support@vsvsv.in. We may suspend or terminate your participation if you breach these terms, if your account is implicated in fraud, or if the programme as a whole is wound down. On termination, accrued commissions in the accrued state are paid out in the next cycle; commissions still in the hold window may be voided or paid out depending on the reason for termination.

13. Disputes

These terms are governed by Indian law. Any disputes arising out of or relating to the programme are subject to the exclusive jurisdiction of the courts at Hyderabad, Telangana, India. The parties will attempt to resolve disputes amicably before escalating.

14. Changes to these terms

If we change these terms (commission base, default rates, KYC requirements, payout schedule, refund-hold window, or claw-back policy), we will publish a new numbered version. You will be asked to re-accept on your next login when the version changes. Your previously-accepted version applies to your earnings up to that re-acceptance.
